These Terms & Conditions (“Terms”) govern your use of the RingOn website, participation in RingOn reservations, waitlists and early-access programs, and any RingOn products or services that we make available. By using the website, submitting a reservation or waitlist request, creating an account, or purchasing a RingOn product or service, you agree to these Terms.

1. About RingOn.

RingOn is operated by RingOn, Inc. (“RingOn,” “we,” “us,” or “our”).

2. Eligibility.

You must be at least 18 years old, or the age of legal majority where you live, to submit a reservation, create an account, or purchase directly from RingOn.

If a RingOn product is used by a minor, the parent or legal guardian is responsible for the minor’s use of the product and associated services.

3. Prelaunch status.

RingOn is currently in a prelaunch stage.

Product designs, colors, sizes, specifications, functionality, services, pricing, subscription terms, availability, manufacturing details, launch timing, images, and other information displayed on the website may change as development and testing continue.

Images and renderings shown on the website may represent prototypes, concepts, or anticipated designs and may differ from the final product.

We will disclose the applicable product, material features, and price before asking you to complete a purchase.

4. Reservations, waitlists, and RingOn selections.

You may currently select a preferred RingOn color, size, quantity, or intended use and submit your information to RingOn.

We may refer to this submission as a reservation, waitlist registration, early-access selection, or similar term.

Unless we expressly state otherwise, a prelaunch reservation:

• does not require payment;

• is not a completed purchase or binding order;

• does not guarantee inventory, availability, delivery priority, a particular launch date, product design, feature, size, color, or price; and

• does not obligate you to purchase RingOn.

Before any RingOn is shipped or you are charged for a purchase, you will have an opportunity to review the applicable product details, price, and purchase terms and decide whether to proceed.

5. RingOn promotional credits.

RingOn may offer promotional credits to people participating in a reservation, waitlist, early-access program, promotion, or other offer.

If the website states that your submission qualifies for a RingOn credit, including a $10 RingOn credit, that credit may be applied toward an eligible future RingOn purchase in accordance with the terms of that offer.

Unless otherwise stated, promotional credits:

• have no cash value and cannot be redeemed for cash;

• may not be transferred or sold;

• may be limited to one credit per eligible participant or purchase; and

• may be subject to reasonable eligibility and fraud-prevention requirements.

A promotional credit does not create an obligation to purchase RingOn, and no cash payment is owed if you decide not to purchase.

6. Safety and emergency-use limitations.

RingOn is intended to provide an additional way to initiate or facilitate a request for help. It is supplemental safety technology and is not a guarantee of personal safety.

RingOn is not a substitute for calling 911, local emergency services, law enforcement, medical professionals, or taking other appropriate safety precautions.

RingOn does not guarantee that:

• an alert or communication will always be transmitted or received;

• a designated contact or emergency service will receive or respond to an alert;

• emergency assistance will be dispatched;

• location information will always be available, precise, or current;

• a user will be located, assisted, rescued, or protected from harm; or

• use of RingOn will prevent an accident, crime, injury, medical emergency, abduction, assault, or other harmful event.

When immediate emergency assistance is available and appropriate, users should contact emergency services directly.

7. Technology and service dependencies.

Depending on the RingOn product and services being used, operation may depend on other devices, systems, or services, including a compatible smartphone, Bluetooth connectivity, internet or cellular connectivity, GPS or other location services, operating-system permissions, batteries, third-party platforms, or emergency-response providers.

Performance can be affected by network availability, signal strength, battery level, device settings, environmental conditions, software compatibility, third-party outages, or circumstances outside RingOn’s control.

Users are responsible for maintaining compatible equipment, appropriate settings and permissions, sufficient battery power, and required connectivity.

8. Availability and service interruptions.

RingOn products or services may be unavailable, delayed, interrupted, modified, suspended, or discontinued.

We do not guarantee continuous, uninterrupted, error-free, or universally available operation.

We may make changes that are reasonably necessary for product development, security, legal compliance, maintenance, technology changes, third-party requirements, or improved functionality.

9. User responsibilities and acceptable use.

You may not:

• use RingOn products or services unlawfully;

• intentionally make false or malicious emergency reports;

• use RingOn to threaten, harass, stalk, monitor, or harm another person;

• interfere with or disrupt RingOn systems or services;

• attempt unauthorized access to RingOn systems, accounts, software, or data;

• circumvent security or technical restrictions;

• reverse engineer RingOn software or technology except where applicable law expressly permits it; or

• use RingOn in a manner that violates the rights of another person.

10. Communications.

When you provide your email address or other contact information, RingOn may send communications related to your reservation, waitlist status, RingOn selection, account, product availability, purchase, service, security, or other requested interaction.

If you elect to receive marketing communications, you may unsubscribe from marketing emails using the unsubscribe mechanism provided in those communications.

Certain administrative, transactional, security, or service-related communications may still be sent when necessary.

11. Privacy.

Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy and any applicable privacy or cookie notices available on the RingOn website.

12. Purchases and paid services.

When RingOn begins accepting purchases or subscriptions, applicable pricing, payment terms, taxes, shipping information, return or refund terms, subscription terms, and other material conditions will be disclosed at or before checkout where applicable.

Submitting a free reservation or waitlist registration does not authorize RingOn to charge your payment method.

Additional terms presented at checkout or when activating a particular service may also apply.

13. Third-party services.

RingOn products, services, or websites may integrate with or link to third-party products, websites, platforms, telecommunications providers, mapping or location services, emergency-response providers, payment processors, or other services.

Third-party services are governed by their own terms and privacy practices.

To the extent permitted by law, RingOn is not responsible for third-party systems, content, availability, outages, conduct, or privacy practices.

14. Intellectual property.

The RingOn name, trademarks, logos, product designs, technology, software, website content, graphics, photographs, videos, text, product materials, and other proprietary materials are owned by or licensed to RingOn and are protected by applicable intellectual-property laws.

Except as expressly permitted by RingOn or applicable law, you may not copy, reproduce, modify, distribute, sell, license, reverse engineer, commercially exploit, or create derivative works from RingOn proprietary materials.

No license or ownership interest is transferred to you except for the limited right to use RingOn products and services as intended.

15. Feedback and product ideas.

We welcome feedback, suggestions, product ideas, use cases, design preferences, and other comments.

If you voluntarily submit feedback or ideas to RingOn, you grant RingOn a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, develop, publish, and otherwise use that feedback for any lawful purpose without compensation or obligation to you.

Do not submit information that you consider confidential or proprietary unless RingOn has expressly agreed in writing to receive it on a confidential basis.

16. Disclaimers.

To the maximum extent permitted by applicable law, the RingOn website and any RingOn products and services are provided on an “as is” and “as available” basis.

RingOn disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and other warranties to the extent they may lawfully be disclaimed.

Nothing in these Terms excludes any warranty, right, or remedy that cannot legally be excluded under applicable consumer-protection law.

17. Limitation of liability.

To the maximum extent permitted by applicable law, RingOn and its affiliates, officers, directors, employees, contractors, suppliers, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, or similar losses arising from or relating to the website, a RingOn product or service, or inability to use a RingOn product or service.

To the maximum extent permitted by law, RingOn’s aggregate liability arising from or relating to a particular product or service will not exceed the greater of:

(a) the amount you paid RingOn for the affected product or service during the 12 months preceding the event giving rise to the claim; or

(b) $100.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited or excluded.

18. Suspension or termination.

RingOn may restrict, suspend, or terminate access to an account or service when reasonably necessary because of misuse, fraud, security concerns, violation of these Terms, legal requirements, nonpayment of applicable charges, or risk of harm to RingOn or others.

19. Changes to these Terms.

We may update these Terms as our products, services, business practices, or legal obligations change.

The “Last updated” date at the top of these Terms will identify the most recent revision.

If a change materially affects an existing paid service or other contractual relationship, we will provide notice where required by applicable law.

20. Governing law and venue.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms, the RingOn website, or RingOn products or services will be brought in the state or federal courts located in Harris County, Texas.

Nothing in this section limits any consumer right that cannot lawfully be waived.

21. Severability.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

22. No waiver.

RingOn’s failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

23. Assignment.

You may not assign your rights or obligations under these Terms without RingOn’s written consent.

RingOn may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or transfer of the applicable business or service.

24. Entire agreement.

These Terms, together with any policies or additional terms expressly incorporated into them, constitute the agreement between you and RingOn regarding the matters addressed here.

If additional terms are presented for a particular RingOn product, purchase, subscription, or service, those additional terms will also apply to that product, purchase, subscription, or service.
